Terms of Service

By accessing or using the Qudoom platform (“Service”), including the web dashboard, iPad kiosk application, QR code check-in system, and any related services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or an in-app notification at least thirty (30) days before changes take effect.

“Service” refers to the Qudoom platform, including the web-based dashboard, iPad kiosk application, QR code check-in pages, and all related software, infrastructure, and documentation.

“Customer Data” means all data, content, and information (including personal data of visitors) that you or your authorized users submit, upload, or generate through your use of the Service.

“Organization” means the company, entity, or workspace that the Customer creates within the Service.

“Authorized Users” means individuals who are authorized by the Customer to access the Service, including administrators, front desk staff, and hosts.

“Subscription” means the paid plan selected by the Customer, which defines usage limits, features, and billing terms.

To use the Service, you must create an account and provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to safeguard your account information.

You are solely responsible for managing the roles and permissions of Authorized Users within your Organization. The Service provides three access levels—Administrator, Front Desk, and Host—each with specific permissions. It is your responsibility to assign appropriate roles and review access regularly.

Account sharing is prohibited. Each Authorized User must have their own individual account. Sharing login credentials or using shared accounts may result in suspension or termination of the Service.

Subject to your compliance with these Terms and a valid Subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

The Service is offered on a subscription basis with tiered plans (Starter, Basic, Pro, and Enterprise). Each plan includes specific usage limits for check-ins per month, number of visitor types, team members, and iPad kiosk devices.

Subscription fees are billed annually in advance. All fees are quoted and payable in the applicable currency and are non-refundable except as expressly provided in these Terms or as required by applicable law.

We reserve the right to modify pricing with at least sixty (60) days' written notice prior to your next renewal period. If you do not agree to the new pricing, you may cancel your Subscription before the new pricing takes effect.

If you exceed the usage limits of your current plan, we may automatically upgrade your Subscription to the next tier, throttle certain features, or suspend the Service until the issue is resolved. We will provide reasonable advance notice before any automatic upgrade takes effect.

Overdue payments may result in the suspension of your account. Access will be restored upon receipt of the outstanding balance. A late payment fee of 1.5% per month (or the maximum amount permitted by applicable law, whichever is lower) may be applied to overdue balances.

We may offer a free trial period for the Service. During the free trial, the Service is provided “as is” without warranty or guaranteed service level. At the end of the trial period, you must select a paid Subscription to continue using the Service.

If you do not select a paid plan, your account may be suspended, and your data will be retained for a period of thirty (30) days, after which it may be permanently deleted. We will send you at least two (2) reminders before any data deletion occurs.

We reserve the right to modify, limit, or discontinue free trial offers at any time without prior notice.

You retain all ownership rights to your Customer Data. We do not claim any ownership interest in your Customer Data. By using the Service, you grant us a limited license to host, store, process, and transmit Customer Data solely to the extent necessary to provide and improve the Service.

You are solely responsible for ensuring that all Customer Data, including visitor personal information, is collected, processed, and stored in compliance with all applicable laws and regulations. This includes obtaining any required consent from visitors before collecting their personal data through the Service.

You represent and warrant that you have all necessary rights, permissions, and consents to submit Customer Data to the Service and that such submission does not violate any third-party rights.

We implement industry-standard security measures to protect Customer Data, including encryption in transit (TLS 1.2+) and at rest, multi-tenant data isolation, server-enforced access control, and regular security audits. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

All rights, title, and interest in and to the Service—including all software, code, algorithms, interfaces, designs, text, graphics, logos, trademarks, trade names, service marks, and other intellectual property—are and shall remain the exclusive property of Qudoom and its licensors.

These Terms do not grant you any right to use our trademarks, logos, domain names, or other brand features without our prior written consent.

We welcome feedback, suggestions, and ideas regarding the Service. By submitting feedback, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, modify, and incorporate such feedback into the Service without any obligation to you.

We strive to maintain high availability of the Service and target an uptime of 99.9%. However, the Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond our reasonable control (force majeure events).

We will provide reasonable advance notice for scheduled maintenance and will endeavor to schedule downtime during off-peak hours. Emergency maintenance may be performed without advance notice when necessary to protect the integrity of the Service.

Support is available through in-app channels and email. Response times may vary depending on your Subscription tier and the severity of the issue.

You may cancel your Subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the Service until that date.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent or abusive activity, or fail to pay fees when due.

Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for thirty (30) days following termination, during which you may request an export of your data. After the retention period, we may permanently delete your data without further notice.

Sections that by their nature should survive termination—including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law—shall survive termination.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUDOOM, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO QUDOOM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF QUDOOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Qudoom and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Customer Data or the collection, processing, or storage thereof; or (e) any third-party claim arising from activities under your account.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

YOU ACKNOWLEDGE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICES OR LOSS OF DATA RESULTING FROM SUCH USE.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Qudoom operates, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the applicable arbitration institution.

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

These Terms constitute the entire agreement between you and Qudoom regarding the Service and supersede all prior agreements, proposals, or representations, whether written or oral.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Qudoom.

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction.

The Service is operated from enterprise-grade cloud infrastructure. We make no representation that the Service is appropriate or available for use in all locations. If you access the Service from outside our primary operating region, you do so at your own risk and are responsible for compliance with local laws.
